Case: Acquisition (Biogas Project Netherlands)
Amsterdam – Fruytier Lawyers in Business – M&A & Energy/Sustainability
Background
In 2025, our client took a strategic step in the sustainable energy market with the proposed acquisition of a Dutch company with a license to build and operate an advanced biogas plant. The closing is scheduled for the end of 2025.
This plant will be an important link in the regional circular economy. Approximately 65,000 tons of vegetable waste from the horticultural sector and organic waste from supermarkets will be processed annually. The project is expected to produce 7 million m³ of biogas per year — equivalent to approximately 70 million kWh of sustainable energy.
The project
Biogas production will take place in six modular dry digesters. The biomethane produced will be fed into the local gas grid. In addition, the separated CO₂ will be used in regional greenhouses (approximately 55 hectares) to support plant growth — a textbook example of the circular use of waste streams.
The project will be realized in collaboration with reliable partners, supplemented by a local construction partner. The total investment amounts to more than €27 million, and the installation will operate 24/7 with a three-person shift system and staff from the region.
